1.1.1. CORPORATE- MERGERS AND ACQUISITIONS
Bamu Attorneys thrive on the exciting development and opportunities presented in the realm of Mergers and Acquisitions (M&A). Our team’s passion is driven by this fast paced, dynamic practice area, which has enhanced our country as whole into a positive light. We have gained valuable experience in various M&A transactions, involving cross border acquisitions across a range of sectors (including the manufacturing, banking and energy sectors), private and public equity and debt offerings and debt to equity conversions. We guide our clients through every stage of a transaction—from due diligence and structuring, to negotiation and preparation of transaction documents, to post-transaction transition and post-merger integration. In this way, we pride ourselves on assisting clients through all stages of their transactions to ensure successful deal outcomes.
Due to the all-encompassing nature of M&A, this Practice Group works closely with our Banking and Finance, Regulatory and Compliance, Real Estate and Property Development and Tax Practice Groups; as well as developing expertise and experience in key practice areas, such as Competition Law, Labour and Human Resources, Intellectual Property, and Corporate Governance. The M&A Practice Group is thus closely intertwined with these practice areas to ensure that we provide clients with comprehensive legal support throughout the deal process.
1.1.2. BANKING AND FINANCE
Bamu Attorneys’ Banking and Finance Practice Group has experience across a spectrum of finance matters, from banking and finance to debt capital markets and debt restructuring. Our expertise extends to bilateral and syndicated loans, guarantee and security issues and regulatory matters including the establishment of financial institutions, and the carrying on of lending and investment banking activities within Zimbabwe.
In addition, the team has the ability to interpret financial and corporate documents, and to advise clients on multimillion-dollar transactions from inception to closing. This Practice Group has, on many occasions, been in engaged in representing creditors, being either corporates or financial institutions, in liquidation and judicial management proceedings.
1.1.3. REGULATORY AND COMPLIANCE
The Regulatory and Compliance Practice Group focuses on rendering advice relating to investment structuring and regulatory aspects of conducting business in Zimbabwe. The Team focuses on guiding clients regarding the investment regulatory framework in Zimbabwe, especially as it relates to the local business environment and the applicability of corporate legal requirements and requisite regulatory approvals. The Team is also engaged in offering legal advice on a number of data protection, competition law, immigration law and media law regulatory aspects.
Our Regulatory and Compliance Practice Group works closely with our M&A and Banking and Finance Practice Groups, particularly with a view to ensuring that our clients, both local and international, are ably assisted in navigating the local business and regulatory business environment. 1.1.4 ALTERNATIVE DISPUTE RESOLUTION
The Alternative Dispute Resolution Practice Group is equipped to provide our clients with services in Commercial Litigation/ Dispute Resolution as well as Debt Collection and Arbitration proceedings. This Practice Group’s extensive experience lies in advising domestic and international corporations, financial institutions, government and regulatory bodies in respect of sensitive, complex, high value and multi-jurisdictional disputes that require fast and effective solutions.
The Team also offers both dispute avoidance and risk management services, thus ensuring that the relevant advice is obtained by our clients before any litigation process is considered. Although this Practice Group’s core focus is not on criminal litigation, when we are approached by clients for representation in criminal matters, we refer the matter to senior counsel, Advocate Keith Kachambwa, with whom we have a close working relationship with, or other relationship Firms who are more geared towards providing clients with legal representation in criminal matters.
